Nissin Foods Announces 2023 Q3 Financial Results

HONG KONG, Nov 9, 2023 – (ACN Newswire) – Nissin Foods Company Limited (“Nissin Foods” or the “Company”, together with its subsidiaries, the “Group”; Stock code: 1475) today announced its unaudited third quarter financial results for the nine months ended 30 September 2023 (the “Reporting Period”).

The Group recorded revenue of HK$2,956.0 million for the Reporting Period. Gross profit increased by 2.8% to HK$1,005.8 million, and gross profit margin increased by 2.6 percentage points to 34.0% from 31.4% (restated) for the corresponding period of 2022. The increase in gross profit margin was mainly attributable to the price adjustments implemented last year and the easing of raw material costs during the Reporting Period. Profit attributable to owners of the Company for the Reporting Period increased by 16.1% to HK$270.4 million, compared with HK$233.0 million (restated) for the corresponding period of 2022.

Revenue from Hong Kong and other Asian operations was HK$1,142.1 million. As for the Mainland China operation, due to the depreciation of the Renminbi against the Hong Kong dollar, revenue of HK$1,813.9 million (in local currency: -0.2%) was recorded for the Reporting Period.

The fair drew keen buyers from emerging markets. Several regions stood out including Korea, Mainland China and Taiwan, as well as Southeast Asian countries such as Indonesia and Malaysia, showing healthy potential for development. The return of global buyers to the physical Wine and Spirits Fair underlines Hong Kong’s status as a key trade and distribution hub for wine in the region.

The fair drew some 7,000 buyers from 49 countries and regions. On Public Day today the fair was open to ticket holders aged 18 or above, attracting around 9,000 wine enthusiasts to enjoy the beverages and attend events such as masterclasses, wine tasting and seminars.

Gathers together global fine wine, cultivates new market opportunities

The HKTDC’s Deputy Executive Director Sophia Chong said: “The 15th Wine & Spirits Fair featured more than 500 exhibitors from 17 countries and regions, where wine sellers and buyers come together again and buyers were keen to source products. Public Day today was also well received, and members of the public enjoyed the wine tasting experience and had fruitful purchases.

“In recent years, Chinese wines have risen in popularity and brought new momentum to the Chinese market. We incorporated these elements in the fair, bringing products from Sichuan, Ningxia and Xinjiang, offering more options for buyers. The HKTDC also held various seminars where industry professionals could explore opportunities in the Chinese wine market. Meanwhile, the global hot topic of sustainable development has also been addressed by the wine industry, as vintners make wines by greener means. Organic wines were also showcased in the fair, creating a sparkling new wave of purchasing trends.”

Emerging demand for non-alcoholic wines

Gary Lee, the Business Development Director of San Sesan Global Pte Ltd, a buyer from Singapore, said his firm’s primary objective at the event was to source vegan and alcohol-free wines, with a specific focus on products from Spain and Germany. He welcomed the Click2Match platform, which facilitated meeting scheduling and record-keeping. Mr Lee joined 20 business matchmaking sessions, engaging with eight exhibitors offering vegan and alcohol-free wines. “These meetings were highly effective, and I identified several exhibitors with significant potential. There is a good chance that I will place orders with two of them, and each deal we make is typically valued at approximately US$300,000.”

Virginia Cikhita, the CEO of Project X and a buyer from Indonesia, visited the fair to source fine wines and accompaniments. She stated: “We have a great opportunity to order from a Hong Kong exhibitor at least 2,000 bottles of black truffle sauce imported from Finland. We also hope to buy custom water bottles from a Taiwanese exhibitor, as well as at least 3,000 boxes of hangover prevention pills. The public have been attending more social events, such as parties and wedding ceremonies, boosting the consumption and sale of wines. Reflecting all these factors and considering the impact of a low base effect last year, Hong Kong’s wine exports increased 41.6% to US$300 million (HK$2.35 billion) between January and September this year.”

In February 2008, as wine demand grew in Asia, the Hong Kong Government removed all duty-related customs and administrative controls on wine to foster the development of Hong Kong as a regional hub for wine trade and distribution, particularly for Mainland China. The mainland and Macao are Hong Kong’s biggest markets, accounting for 69% of exports last year.

In addition to wine trading and distribution, wine-related activities in Hong Kong include auctions, retailing, warehousing, catering and transport. The Census and Statistics Department said 740 establishments imported alcoholic drinks for wholesale last year, up from 310 in 2008. In the same period the number of stores specialising in alcoholic beverage sales increased from 140 to 480.

Mainland fine-beverages are rapidly becoming popular, creating a market trend. Multiple seminars and tasting sessions will focus on business potential for baijiu and Chinese wines in overseas markets. Fine alcohols from Sichuan, Ningxia and Xinjiang will be introduced at the fair. Participants can savour the unique Chinese flavours. The HKTDC’s Deputy Executive Director Sophia Chong said the COVID-19 pandemic had hit the wine industry but the market was full of potential and was expected to grow continuously. Data portal Statista estimated that global wine industry revenue would amount to US$333 billion this year, with sales growth projected at 5.52% annually between 2023 and 2027.

“Hong Kong is a key connector to the wine and liquor market in Asia. Given the growth in consumption power in Mainland China, many wine merchants are now making inroads into this sizeable market. A lot of international wine companies have set up operations in Hong Kong to seize business opportunities in Mainland China and around the world. Statista predicted mainland wine-sector revenue would reach US$27.2 billion this year and grow 3.93% annually between 2023 and 2027. An HKTDC market research survey conducted in 2020 showed mainland consumers were growing increasingly knowledgeable about wine. Of the respondents, 25% said they had intermediate or advanced knowledge of wine, and 41% said they drank wine at least once a week.

Given its status as a duty‑free port, wine merchants and investors regard Hong Kong as the most cost‑effective and convenient distribution hub to store investment-grade wines for delivery to markets on demand. Mainland China and Macao, which accounted for about 69% of wine exports last year, were the major destinations. In value terms, Hong Kong wine exports increased 45.1% last year.

Showcase for quality global wines

The 15th Wine & Spirits Fair will feature a diverse range of fine beverages, including old-world and new-world wines, wines and liquor from Mainland China and Japan, as well as whiskies and beers. Moolec Science Announces US $30 Million Capital Raise With Strategic Investors

Luxembourg, Oct 17, 2023 – (ACN Newswire) – Moolec Science SA (NASDAQ:MLEC; “Company”; “Moolec”), a science-based food ingredient company, announced today that it has entered into agreements to issue a convertible note due 2026 to Grupo Insud (“Insud”) in a principal amount of approximately US $21 million (the “Insud Convertible Note”) with a strike price of US $6.00 per share. The Insud Convertible Note will be issued against a cash payment of US $10 million and in-kind contributions to be made by Insud to Moolec. In-kind contributions include credits to access Insud’s state-of-the-art industrial capabilities, operational services, and the incorporation of Joint Venture participation, started with Moolec in 2021. At maturity, Moolec will hold the option to deliver ordinary shares, cash, or a combination of cash and ordinary shares.

This transaction follows Moolec’s previous announcement that it entered into a Memorandum of Understanding with Bioceres Crop Solutions (NASDAQ:BIOX; “BIOX”) that secures the supply of approximately 15,000 tons of HB4® soybeans (the “BIOX Supply Agreement”) that may be upsized for a similar volume. The BIOX Supply Agreement will be paid through the issuance of a convertible note (the “BIOX Convertible Note” and together with the Insud Convertible Note, the “Convertible Notes”) on arms-length terms to the Insud Convertible Note.

Under the BIOX Supply Agreement, Bioceres Crop Solutions will engage with Generation HB4® farmers to source and deliver to Moolec soybeans with a sustainability-linked premium, which are produced under regenerative agricultural practices, minimizing water, carbon, and chemical footprints. The Generation HB4® program is an identity-preserved farming program that utilizes HB4® drought-tolerance technology to enable soybean-wheat crop rotations and improve agricultural sustainability.

Together, the Convertible Notes total approximately US $30 million of cash and in-kind contributions that include soybean inventories, operational services, and the acquisition of Joint Venture equity.

About the Convertible Notes

The Insud Convertible Note will mature in 36 months after they are issued, will initially accrue interest 10.0% p.a. and include a “payment-in-kind” feature. If the trading price of Moolec’s ordinary shares exceeds the strike price of US $6.00 per ordinary share (the “Strike Price”) for 10 trading days, Insud will have the option to exercise the early conversion option pursuant to which the principal amount outstanding under the Insud Note may be converted into ordinary shares of Moolec at the Strike Price. The Strike Price represents a premium of approximately 100% of the 20-day VWAP of Moolec’s ordinary shares. At maturity, Moolec has the option to convert the principal amount outstanding under the Insud Note into ordinary shares. In connection with Insud’s early conversion option and Moolec’s optional conversion at maturity, Moolec may deliver ordinary shares, cash, or a combination of cash and ordinary shares to Insud. The in-kind contributions to be made by Insud to Moolec are subject to the completion of an independent appraisal procedure in accordance with Luxembourg law. The BIOX Convertible Note is expected to be issued on substantially similar terms as the Insud Convertible Note.
