The charity flow-through unit portion of the Offering has been updated to reflect an increase in the price of the units being offered from $0.4625 to $0.475 per unit. As such, the charity flow-through unit portion is now comprised of up to 10,526,315 units of Q2 at a price of $0.475 per unit (the “Charity Units”) for gross proceeds of up to $5,000,000.

All other Offering terms remain the same, with total gross proceeds now being up to $7,505,000.

Closing of the Offering on the terms, as amended, is subject to certain customary conditions, is expected to occur on or about July 31, 2024, and is subject to receipt of acceptance by the TSX Venture Exchange. Q2 Metals Announces $7.5 Million Private Placement

Vancouver, BC, July 10, 2024 – (ACN Newswire) – Q2 Metals Corp. (TSXV:QTWO)(OTCQB:QUEXF)(FSE:458) (“Q2” or the “Company“) is pleased to announce that it has arranged a non-brokered private placement of units of the Company to raise gross proceeds of up to $7,500,000 (the “Offering”) as follows:

  • Up to 10,800,000 units of Q2 at a price of $0.4625 per unit (the “Charity Units”) for gross proceeds of up to $4,995,000. Each Charity Unit will consist of one flow-through common share of Q2 (a “FT Share”) and one half of one share purchase warrant (each whole warrant, a “Warrant”). Each Warrant will entitle the holder to acquire one additional non-flow-through common share of Q2 at a price of $0.50 per share for a period of two years;
  • Up to 1,000,000 units of Q2 at a price of $0.35 per unit (the “FT Units”) for gross proceeds of up to $350,000. Each FT Unit will consist of one FT Share and one half of one Warrant; and

Q2 Metals Confirms Lithium Mineralization at Eight New Zones Discovered at the Cisco Lithium Property, James Bay, Quebec, Canada

(TSX.V:QTWO)(OTCQB:QUEXF)(FSE:458) (“Q2” or the “Company“) is pleased to announce analytical results from the ongoing 2024 mapping and sampling field program at the Cisco Lithium Property (the “Property” or the “Cisco Property“). The Cisco Property is located within the greater Nemaska traditional territory of the Eeyou Istchee James Bay region of Quebec, Canada, proximal to the Billy Diamond Highway and 150 kilometres (“km”) north of the town of Matagami and railway.

Initial field work including mapping and rock sampling was undertaken by the Company to provide guidance on the extent of the lithium mineralization at the Cisco Property. Field crews began the program at the CO1 Zone where the vendors of the Cisco Property initially sampled and drilled in 2022/2023 and have since expanded throughout the Property. To date, a total of 76 pegmatite samples collected and assayed have resulted in the confirmation of eight (8) new spodumene discoveries for a total of 15 spodumene pegmatite zones on the Cisco Property thus far.

“The sampling results have confirmed the presence of lithium in each of the 15 outcrop zones, giving us the confidence to expand our drilling in a systematic manner to the south of the recently announced holes drilled towards CO3,” said Neil McCallum, Q2 Metals VP of Exploration. “In the short amount of time that we’ve been working at Cisco, I am very encouraged by the surface and drilling results and I believe the Cisco Property is already showing signs of being an industry leading project.”

The sampling and mapping of the Cisco Property has resulted in a wide-spread group of mineralized outcrops; CO1 to CO15. The results are summarized in Table 1.

The size of individual outcrops varies, from 1-2 metres (“m”) wide, up to 20 m wide. In most cases, the contacts with the bounding host-rock are not visible, being beneath till/vegetation cover. Additional work will be needed to fully understand their true surface expression and drilling is planned to test the subsurface extent of mineralization. Drill holes CS24-011 to CS24-014 (see July 3rd, 2024 press release) confirmed the continuation of mineralization between outcrop zones CO1 to CO3, and the Company is confident in continuing its drill program to the south of CO3. Surface mineralization at CO3 is characterized by 4 samples averaging 1.73% Li2O and 224ppm Ta2O5. South of CO3, lies the outcrop area CO8 characterized by 4 samples averaging 1.89% Li2O and 93ppm Ta2O5.

Analytical results of the sampling field work has outlined a potential new area of interest located southwest of CO15, with up to 0.15% Li2O and 177ppm Ta2O5 in outcrop ( Figure 1) as well as a boulder sample located north of the CO2 reporting 0.73% Li2O. Further work will be conducted in these areas in the coming weeks to understand their significance. This brings the size of the Company’s priority area of interest to 1.1 by 3.5 km.

Many of the sampled outcrops contain anomalous geochemistry (Ta2O5 > 100ppm, Rb > 1,000ppm, Cs > 100ppm) in the absence of significant lithium and will also be a focus for follow up in the coming weeks.

About the Cisco Property

The Cisco Property is comprised of 222 mineral claims and is 11,374 hectares in size. It is located less than 10 km east of the Billy Diamond Highway, and is approximately 150 km north of Matagami, a small town that contains the closest rail link to much of James Bay. The Property lies within the greater Nemaska Community lands of the Eeyou Istchee Territory, James Bay, Quebec.

The Property is situated along the Frotet Evans Greenstone Belt, comprised of a volcanic package dominated by mafic to felsic metavolcanic rocks, of the southern James Bay Lithium District, the same belt that hosts the Sirmac and Moblan lithium deposits, located 130 km and 180 km away, respectively.

Sampling, Analytical Methods and QA/QC Protocols

All rock samples collected and drill core samples were shipped to SGS Canada’s preparation facility in Val D’Or, Quebec, for standard sample preparation (code PRP92) which includes drying at 105°C, crush to 90% passing 2 mm, riffle split 500 g, and pulverize 85% passing 75 microns. The pulps will be shipped by air to SGS Canada’s laboratory in Burnaby, BC, where the samples will be homogenized and subsequently analyzed for multi-element (including Li and Ta) using sodium peroxide fusion with ICP-AES/MS finish (code GE_ICM91A50).

A Quality Assurance / Quality Control protocol following industry best practices was incorporated into the sampling program.

Management cautions that prospecting surface rock samples and associated results, as discussed herein, are selective by nature and therefore may not necessarily be fully representative of the mineralized horizon sampled.

Q2 Metals Extends Mineralized Zone to 750 Metres at the Cisco Lithium Property, James Bay, Quebec, Canada

(TSX.V:QTWO)(OTCQB:QUEXF)(FSE:458) (“Q2” or the “Company“) is pleased to provide an update from its 2024 exploration program at the Cisco Lithium Property (the “Property” or the “Cisco Property“) located within the greater Nemaska traditional territory of the Eeyou Istchee James Bay region of Quebec, Canada.

The Company commenced its 2024 drill program at the Cisco Property (the “Spring 2024 Drill Campaign”) in May, with the primary objective of confirming and expanding upon the mineralized zone where the Property vendors worked in 2023 (the “CO1 Zone”). As previously announced on June 17, 2024 the Company encountered wide intervals of spodumene-pegmatite including:

  • Drill hole CS24-010 which encountered five (5) spodumene-mineralized intervals that were greater than 10 m wide.
  • The sum of all spodumene-mineralized intervals in hole CS24-010 was 194.8 m, with the widest individual interval measuring 86.6 m.

Since then, four additional holes (CS24-011 to 014) have been completed for approximately 1,215 m and targeted the extension of the CO1 outcrop area towards the CO3 outcrop area. A total strike length of 750 m of spodumene mineralized pegmatite has now been defined and is open in all directions.

The four drill holes reported on herein were primarily focused on expanding the previously intersected mineralization and suggest that the pegmatite body is trending roughly 45 to 60 degrees in a northeast-southwest direction. It should be noted that the mineralized intervals in all the holes drilled thus far are not representative of the true width and the modelled pegmatite zone is being refined with every additional hole.

The interpretation that mineralization continues between the outcrop zones CO1 to CO3 has been verified with the most recent four holes. The widely spaced holes have confirmed several mineralized spodumene pegmatite intervals over a strike length of at least 750 metres and is open in all directions along strike and at depth. This verification has implications for the possible continuation of mineralization between other mineralized intervals in the 1.1 by 1.7 kilometre (km) area.

The drill program will continue to test the mineralization along strike in either direction in the CO1-CO3 Zones. Following that, the Company intends on testing other zones that are mineralized at surface, including the CO2 outcrop area. The CO2 Zone is located approximately 1.2 km to the east of the CO1 Zone, with an outcrop area measuring 30 m wide by 100 m long.

About the Cisco Property

The Cisco Property is comprised of 222 mineral claims and is 11,374 hectares in size. It is located less than 10 km east of the Billy Diamond Highway, and is approximately 150 km north of Matagami, a small town that contains the closest rail link to much of James Bay. The Property lies within the greater Nemaska Community lands of the Eeyou Istchee Territory, James Bay, Quebec.

The Property is situated along the Frotet Evans Greenstone Belt, comprised of a volcanic package dominated by mafic to felsic metavolcanic rocks, of the southern James Bay Lithium District, the same belt that hosts the Sirmac and Moblan lithium deposits, located 130 km and 180 km away, respectively.

Sampling, Analytical Methods and QA/QC Protocols

All rock samples collected and drill core samples were shipped to SGS Canada’s preparation facility in Val D’Or, Quebec, for standard sample preparation (code PRP92) which includes drying at 105°C, crush to 90% passing 2 mm, riffle split 500 g, and pulverize 85% passing 75 microns. The pulps will be shipped by air to SGS Canada’s laboratory in Burnaby, BC, where the samples will be homogenized and subsequently analyzed for multi-element (including Li and Ta) using sodium peroxide fusion with ICP-AES/MS finish (code GE_ICM91A50).

A Quality Assurance / Quality Control protocol following industry best practices was incorporated into the sampling program.

Anson Resources and Koch Technology Solutions Collaborate on Pilot Testing at Green River

Anson Resources has signed an agreement with Koch Technology Solutions for testing of a Li-Pro™ Lithium Selective Sorption (LSS) pilot unit using brine from the Green River Lithium Project.

The pilot unit will be located on Anson Resources’ 100% owned private land at Green River and process fresh brine under commercial production conditions from Bosydaba#1 well into lithium chloride, that may be used to produce battery-grade lithium carbonate.

The pilot unit results will be used for process optimisation and product verification for a proposed commercial scale plant. Results will provide important inputs for a full-scale Li-Pro™ unit within Anson Resources’ planned lithium extraction facility.

Pilot unit production is expected to commence in July 2024.

Anson Resources and KTS have agreed on a cost sharing framework involving an investment by KTS through a convertible note to cover the Green River Lithium Project piloting development.

NEWPORT BEACH, CA, June 24, 2024 – (ACN Newswire) – Anson Resources Limited (ASX:ASN) (“ Anson Resources ” or “ the Company “) is pleased to announce its collaboration with Koch Technology Solutions (“KTS”), a Koch Engineered Solutions (“KES”) company, for the commissioning of its Li-Pro™ process pilot unit for lithium extraction at the Company’s Green River Lithium Project (“Project”) in Utah, USA. The pilot will be jointly funded by Anson Resources and an investment from KTS through a convertible note as the companies work to develop a further commercial relationship.

KTS completed their detailed treatability study in May 2024 using brine from Anson Resources’ Green River Lithium Project. KTS’ testing has indicated exceptional results for lithium recovery and element rejection rates and suggests superior results to those achieved in Anson Resources’ Definitive Feasibility Study, see ASX announcement 8 September 2022 . The Company is in the process of determining any revisions to CAPEX and OPEX from the results achieved.

Through an agreement completed on 21 st June 2024, the companies will partner to expedite the commissioning of the pilot unit. Results from the pilot unit, if successful, will provide detailed feasibility engineering and cost data for deployment of the full-scale Li-Pro™ process at the Green River Lithium Project’s lithium extraction facility.

The pilot unit is expected to be operational in July 2024 at Anson Resources’ private land in Green River, Utah and will run 24 hours a day, 7 days a week for the next two to four months. The unit will process fresh brine from the Company’s Bosydaba#1 well into lithium chloride, replicating commercial production conditions. This pilot unit is in addition to Anson Resources’ operational sample demonstration plant (“SDP”) at Green River that utilises the existing flow sheet , see ASX announcement 15 April 2024. The two direct lithium extraction (“DLE”) technologies will be tested concurrently using brine from the collected during the drilling program of the Bosydaba#1. Test results of the brine collected from the Leadville Formation, Mississippian Units indicated that lower levels of contaminants, higher porosity, and higher pressure than at the Paradox Lithium Project, see ASX announcement 20 th May, 2024.

Anson Resources and KTS have agreed to a commercial arrangement whereby KTS, via a convertible note investment, helps pay for piloting, testing, and detailed feasibility engineering costs for the Li-Pro™ pilot unit at Green River (see material terms below).

If the initial pilot work is successful and if Anson Resources and KTS mutually agree to move into a commercial Li-Pro™ unit, further costs could be funded through additional investment from KTS. KTS’ Li-Pro™ process is used in other operational pilot facilities elsewhere in North America. KTS has announced that the Li-Pro™ process is being used in its commercial-scale lithium extraction demonstration plant near El Dorado, Arkansas. (TSXV: QTWO) (OTCQB: QUEXF) (FSE: 458) (“Q2” or the “Company“) is pleased to announce an update from its 2024 exploration program at the Cisco Lithium Property (the “Property” or the “Cisco Property“) located within the greater Nemaska traditional territory of the Eeyou Istchee James Bay region of Quebec, Canada.

The Company commenced its 2024 drill program at the Cisco Property (the “Spring 2024 Drill Campaign”) in May, with the primary objective of confirming and expanding upon the mineralized zone where the Property vendors worked in 2023 (now referred to as the “CO1 Zone”). A total of four (4) drill holes have been completed at the CO1 Zone for approximately 1017.1 m, intersecting several wide pegmatite intervals as outlined below. All holes intercepted pegmatites with visual indications of spodumene mineralization identified.

The CO1 Zone has now been defined for a strike length of approximately 300 m both in outcrop and with drilling. Additional drilling will test the continuation of the mineralization at CO1 at depth to the CO3 Zone, which is located approximately 300 to 400 m to the southwest, suggesting that the mineralization could extend at least 750 m.

The first few drill holes completed at Cisco in 2024 have far exceeded my expectations. The spodumene pegmatite intervals are continuing down dip around the previously drilled holes, and our most recent hole (CS24-010) testing the strike extension of the CO1 zone has encountered a very wide mineralized zone,” said Neil McCallum, Q2 Metals VP of Exploration. “The outcrop mapping and sampling of the region has indicated that the Cisco Property has significant potential. The possibility that several of these occurrences are linked at depth is a very significant and very real possibility that we plan to test as the field season continues.”

Concurrent with the drill campaign, mapping and sampling field work is also underway to provide guidance on the extent of the lithium mineralization at Cisco.

Spring 2024 Drill Campaign

The four drill holes reported on herein were primarily focused on expanding the previously intersected mineralization and suggest that the pegmatite body is trending roughly 45 to 60 degrees (in a northeast-southwest) direction. The mineralized intervals in all the holes drilled thus far are not representative of the true width and the modelled pegmatite zone is being refined with every additional hole. Future drill holes will have a modified azimuth in order to optimize the definition of the mineralization.

The pegmatite intervals (greater than 2 metres) of the holes CS24-007 to 010 are reported in detail (Table 1) together with a summary map of the drilling (Figure 2). The summary of holes completed to date which includes basic location and dip/azimuth details is included below in Table 2.

Drilling is ongoing, with the next planned hole (CS24-011) to be approximately 90 m to the southwest of hole 010.

Drill Hole CS24-007 (azimuth 000-north, dip -60°) collared approximately 65 m south of previously drilled holes CS23-05/06 and intersected a total of 11 individual spodumene pegmatite intervals, three of which were greater than 10 m wide, for a total cumulative width of 100.1 m. Drill hole CS23-06, drilled by the Property vendors in 2023, encountered 115.4 m at 1.40% Li2O within a cumulative width of five separate pegmatite intervals.

Drill hole CS24-008 (azimuth 000, dip -60°) collared approximately 110 m south of previously drilled CS24-04 and encountered a total of two (2) spodumene pegmatite intervals, for a cumulative width of 29.7 m.

Drill hole CS24-009 (azimuth 000, dip -50°) collared approximately 60 m west of hole 007 encountered a total of five (5) spodumene pegmatite intervals, for a cumulative width of 117.1 m.

Drill hole CS24-010 (azimuth 000, dip -88°) collared at the same location as hole 009 and encountered a total of 10 spodumene pegmatite intervals, for a cumulative width of 194.8 m. Five (5) of the spodumene pegmatite intervals were greater than 10 m wide with the widest individual interval measuring 86.6 m.

Mapping & Sampling Field Program

Initial field work, including mapping and rock sampling, has been undertaken by the Company to provide guidance on the extent of the lithium mineralization at Cisco. The field crews started at the CO1 Zone where the vendors of the Cisco Property had undertaken sampling and drilling in 2022/2023 and have expanded throughout the Property.

In addition to the CO1 Zone, eight (8) new spodumene occurrences have been discovered for a total of 15 spodumene pegmatite zones.

To date, a total of 76 pegmatite rock samples have been collected and have been sent to SGS. The results will be reported as they are received by the Company.

About the Cisco Property

The Cisco Property is comprised of 222 mineral claims and is 11,374 hectares in size. It is located less than 10 km east of the Billy Diamond Highway, and is approximately 150 km north of Matagami, a small town that contains the closest rail link to much of James Bay. The Property lies within the greater Nemaska Community lands of the Eeyou Istchee Territory, James Bay, Quebec.

The Property is situated along the Frotet Evans Greenstone Belt, comprised of a volcanic package dominated by mafic to felsic metavolcanic rocks, of the southern James Bay Lithium District, the same belt that hosts the Sirmac and Moblan lithium deposits, located 130 km and 180 km away, respectively.

Sampling, Analytical Methods and QA/QC Protocols

All rock samples collected and drill core samples were shipped to SGS Canada’s preparation facility in Val D’Or, Quebec, for standard sample preparation (code PRP92) which includes drying at 105°C, crush to 90% passing 2 mm, riffle split 500 g, and pulverize 85% passing 75 microns. The pulps will be shipped by air to SGS Canada’s laboratory in Burnaby, BC, where the samples will be homogenized and subsequently analyzed for multi-element (including Li and Ta) using sodium peroxide fusion with ICP-AES/MS finish (code GE_ICM91A50).

A Quality Assurance / Quality Control protocol following industry best practices was incorporated into the sampling program.

Management cautions that prospecting surface rock samples and associated results, as discussed herein, are selective by nature and therefore may not necessarily be fully representative of the mineralized horizon sampled.

(TSXV: QTWO) (OTCQB: QUEXF) (FSE: 458) (“Q2” or the “Company“) announces that, further to its news release on February 29, 2024, the Company has completed the closing of three individual option agreements that were each entered into on February 28, 2024, as amended on June 12, 2024 (the “Option Agreements”). Under the terms of the Option Agreements, the Company was granted the exclusive right and option to acquire a 100% interest in three groups of mineral claims collectively known as the Cisco Property, located in the southern portion of Eeyou Istchee James Bay, Quebec, Canada.

Option Agreements

Under the terms of the three individual Option Agreements, the aggregate consideration payable for the Cisco Property is $2,400,000 cash, 60,000,000 common shares of Q2 and exploration expenditures of $12,000,000, broken down on a per Option Agreement basis as follows:

Upon satisfaction of the above payments and expenditures, the Company will earn a 100% interest in the Cisco Property.

The Option Agreements received the acceptance of the TSX Venture Exchange on March 8, 2024. All securities issued to the Cisco Vendors, the Broadback Vendors and the Ouagama Venders are subject to a hold period expiring four months and one day from their date of issuance.

Cisco Claim Group

Pursuant to the terms of an option agreement between the Company and 9490-1626 Quebec Inc. (the “Cisco Vendor“) dated February 28, 2024, as amended on June 12, 2024 (the “Cisco Agreement“), in order for the Company to exercise the option to acquire a 100% interest in 121 mineral claims (the “Cisco Claims“) from the Cisco Vendor, the Company must pay to the Cisco Vendor total consideration of an aggregate of 40,000,000 Common Shares, $2,000,000 cash and conduct $12,000,000 in exploration expenditures, over a four-year period. The Company has completed the closing of the Cisco Agreement and has made the first instalment of the cash & share consideration.

The Cisco Vendor will retain a 4% gross metals returns royalty (“GMR“) on the Cisco Claims (the “Cisco GMR“), of which up to 3% of the Cisco GMR can be purchased by the Company. At any time after the option for the Cisco Claims is exercised and prior to commercial production, the Company may repurchase the first 1% for $1,500,000, the next 1% for $3,000,000 and the Company has a right of first refusal on the next 1%. The foregoing Cisco GMR purchase payments may be satisfied in either cash or Common Shares, at the election of the Company. The Cisco Vendor will also be paid a cash bonus of $2,500,000 on the completion and delivery of an initial mineral resource calculation report, prepared in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral Projects, on the Cisco Claims demonstrating an inferred resource (or higher category) of at least 25 million tonnes grading over 1% Li2O.

Broadback Claims

Pursuant to the terms of an option agreement between the Company, 9219-8845 Quebec Inc (“9219“), Steven Labranche and Anna-Rosa Giglio (the “Broadback Vendors“) dated February 28, 2024, as amended on June 12, 2024 (the “Broadback Agreement“), in order for the Company to exercise the option to acquire a 100% interest in 24 mineral claims (the “Broadback Claims“) from the Broadback Vendors, the Company must pay to the Broadback Vendors total consideration of an aggregate of 10,000,000 Common Shares and $200,000. The Company has completed the closing of the Broadback Agreement and has made the first instalment of the cash & share consideration.

9219 and Ressources Broadback Inc. have been granted a 3% GMR on the Broadback Claims (the “Broadback GMR“), of which up to 2% of the Broadback GMR can be repurchased by the Company at any time prior to commercial production for $1,000,000 for the first 1% and $2,000,000 for the next 1%. The foregoing Broadback GMR purchase payments may be satisfied in either cash or Common Shares, at the election of the Company.

Ouagama Claims

Pursuant to the terms of an option agreement between the Company, 9219, Steven Labranche, Anna-Rosa Giglio, Trent Potts and Potts of Gold Resources Pty Ltd. DynaResource Announces Offtake Extension, Credit Line Expansion and Private Placement

IRVING, TEXAS, June 8, 2024 – (ACN Newswire) – DYNR-DynaResource, Inc. (OTCQX:DYNR) (“DynaResource”, or “the Company”) is pleased to report the following update regarding the Company and its 100%-owned San Jose de Gracia high grade gold project in Sinaloa, México (“SJG”). All figures in United States Dollars (“USD”).

  • Ocean Partners UK Limited (“Ocean Partners”), through its 100% owned subsidiary in Mexico – MK Metals Trading Mexico S.A. de CV (“MK”), and the Company have formalized the extension of their commercial offtake agreement through December 31, 2028, and with revision of terms as per below:
    • Ocean Partners agreed to provide a Temporary Additional Credit Line (“TACL”) of $4M, payable November 30, 2024;
    • Ocean Partners agreed to increase the Revolving Credit Line (“RCL) from $10M to $12.5M after November 30, 2024 and following the repayment of the TACL and RCL;
    • Ocean Partners to provide the Company a Put Option to convert up to $9M of the Revolving Credit Line into Common Stock at a price expected to be approximately $1.61 per share, exercisable between November 1 and 30, 2024.
  • The Company has agreed to issue 1,552,795 shares of Common Stock to Golden Post Rail LLC (“Golden Post”) in exchange for $2.5M USD. The Company plans to utilize the funds received from Ocean Partners and Golden Post to further expand and increase mining and milling activities at SJG, to expand the tailings storage facility, to continue exploration drilling and related exploration activities, and for general corporate purposes.
