Hong Kong, PRC, Jan 5, 2023 – (ACN Newswire) – China South City Holdings Limited (the "Company" or the "Group", SEHK stock code: 1668.HK) is pleased to announce that China South International, a direct wholly-owned subsidiary of the Company, has entered into an investment agreement with Shenzhen Shenji No.1 Industrial Park Investment and Operation Co., Ltd. under Shenzhen SEZ Construction and Development Group Co., Ltd. ("SZCDG"), pursuant to which the latter has agreed to subscribe for 69.35% new shares of "China South City Xi'an" at a cash consideration of RMB5 billion (equivalent to approximately HK$5.58 billion). Upon completion of the transaction, the Group's shareholding in "China South City Xi'an" will be reduced from 100% to 30.65% and "China South City Xi'an" will cease to be a subsidiary of the Group and the transaction is subject to the approval of the independent shareholders of China South City. RMB2.86 billion of the subscription proceeds from this transaction will be used to repay the Group's shareholder loans, which will provide additional working capital for the Group, reduce the Group's gearing ratio and significantly improve its liquidity. The signing of this investment agreement marks another step forward in the cooperation between the Company and SZCDG, and represents SZCDG's strong support for the Group's operation and development. the consideration of the transaction approximates the carrying value of the net assets of China South City Xi'an as of 30 September 2022, which fully demonstrates SZCDG's high recognition of the Group's asset value and future development.
As disclosed in the announcement of the Company, China South City Xi'an is principally engaged in development and operation of integrated logistics and trade centres, and is located at the Xi'an international trade and logistics park, which is an open economic pilot zone and a core area for modern service industry established with strong support from the Xi'an government. China South City Xi'an has a total planned land area of approximately 10.00 million sq. m. and the total planned GFA of approximately 17.50 million sq. m. As of 30 September 2022, China South City Xi'an has acquired land with a total planned GFA of approximately 4.17 million sq. m. and has completed the construction of approximately 2.41 million sq. m., including a commodity trading centre, a logistics park and other ancillary facilities. In addition, business operation in China South City Xi'an covers various industries, including hardware materials and machinery products, curtains and fabrics, textile and clothing, leather and fur, automobile and motorcycle parts, building and decoration materials, 1668 New Times Square, outlets, crossborder e-commerce, Central Asia and ASEAN product exhibition centre, etc., on its trade centre premises, of which the commercial complex, 1668 New Times Square, was included in Shaanxi Provincial Key Project in 2019 and 2020.
During the year, SZCDG fully leveraged its strategic leadership role as a state-owned enterprise in various aspects to facilitate the Group's long-term and stable development. Firstly, in terms of senior management appointments, Mr. Li Wenxiong, chairman of SZCDG, was appointed as Co-Chairman and Non-Executive Director of the Group, while Mr. Wan Hongtao and Mr. Qin Wenzhong were appointed as the Group's Vice president and the Group's Chief Financial Officer respectively, and were also appointed as executive directors, thereby continuously strengthening the Group's senior management team. In addition, SZCDG continued to provide financial support to the Company during the year to improve the Company's operations and improve its liquidity. Startups rapidly emerging from Central Japan – local entrepreneurs explain why

Central Japan, Dec 2, 2022 – (ACN Newswire) – Central Japan, the region in which the new anime-themed park famous for its sci-fi fantasy machines and vehicles debuted earlier last month, is quickly becoming the homeland of startups paving the way towards the future of mobility. Earlier this week, the Japan External Trade Organization (JETRO), together with the Central Japan Startup Ecosystem Consortium, organized a tour to show the media how this lesser-known part of Japan, compared to Tokyo, Osaka or Kyoto, was rapidly giving birth to local entrepreneurs – as the result of education, collaboration, and homegrown determination. The century-old industry and network of suppliers in Aichi, Nagoya and Hamamatsu is also opening up to collaborate with startups from all corners of the world.

1. Education
Yukiko Konishi, vice director of the Startup Promotion Office at Nagoya University, or NU, explained how rival universities in the Central Japan region started to join forces to form the Tokai Network for Global Leading Innovation Platform (Tongali) in 2015. Today, 18 universities stand behind a vision to "cultivate human capital that creates and delivers value leading to the future and enriching people, society, and earth" through entrepreneurship education. In 2020, over 4000 high school students to scholars and graduates participated in Tongali's educational events and programs. As a Tongali co-founder and Startup consortium member, she noted NU was a staple in the outcome of this endeavor. 67 entrepreneurs (as of November 2022) who took flight from NU including Optimind, a Forbes 30 Under 30 Asia 2020, and Acompany, a Forbes 30 Under 30 Japan 2021.
Three NU startups shared their stories. Deep-tech startup Tier IV's chief strategy officer, Ko Miyoshi, explained their world's first open-source software for autonomous driving, which runs on multiple platforms and provides full-stack solutions for the commercialization of intelligent vehicles. Called Autoware, its the equivalent of "Intel inside" for autonomous driving, adopted by over 500 companies across the globe. Toyota's battery-electric shuttle buses and Robo Taxi also partner with TIER IV, while Taiwanese manufacturer Foxconn has agreed to a joint development project for autonomous personal cars with a precondition of Autoware in future EV platforms.
On the Delivery Robot front, we turned the spotlight on Dr. Jude Nwadiuto from Nigeria, a postdoctoral fellow at Nagoya University. Receiving a Ph.D. in autonomous driving and robotics from Nagoya University, the founder and CEO of Fainzy Technologies demonstrated how the warm and cute-looking Mira X and ZiBot models were more seriously gun-ho than meets the eye, going beyond just delivering the payload. Mira X's artificial intelligence (AI) can avoid getting stuck by predicting its path and detecting when food is taken, with a 3D Holographic fan for advertising quality. And ZiBot can make highly accurate decisions from AI-based demand forecast data collected through 360-degree environment sensing.
Another lab-born startup, PotStill's demonstration was a fine blend of technology and psychology. PotStill was established in August 2020 to develop a "driver agent that promotes the improvement of driving behavior", and elemental technology for reducing accidents of elderly drivers based on human interaction research. PotStill director Takahiro Tanaka Ph.D., a designated professor at the Institute of Innovation for Future Society at NU, took participants on a test drive with an adorable 8-inch-tall robot alerting for speeding or stop signs in a relatively narrow residential area.
2. Collaboration
The City of Nagoya's Innovation Department stressed Central Japan's startup ecosystem provides everything a startup needs. On top of the local government's generous support, the region has everything from startup hubs and venture finance to business matching sessions with highly trained workers in many specialized fields, such as mobility. Representatives from Aichi prefecture and Japan's largest incubation hub-to-be, STATION Ai, added that "the region invites entrepreneurs and capitalists from all corners to facilitate state-of-the-art open innovation by infusing new ideas with local craftsmanship." Participants witnessed a few examples:
Home-grown startup SkyDrive's Hiroyuki Murai, chief strategy officer, showed renderings of their new SD-05 two-seater flying car scheduled to fly at the 2025 World EXPO. His team comprises industry specialists from diverse backgrounds, including Bombardier and BAE Systems. But he also stressed that they would not have come this far without the partner ecosystem supporting them in mass production, flight control, charging facilities, parts procurement, leasing, and port architecture.
Koji Ishizuka, senior director of the Electrification Systems Business Group at DENSO, praised Urban Air Mobility (UAM) startups for accelerating technological advances, which would take far longer with larger established enterprises. Ishizuka described how their alliance with Honeywell led them to develop a propulsion solution for German air taxi startup Lilium's All-Electric Jet. DENSO and Honeywell have global project teams in Japan, the EU, and the United States, to expand their Electric Propulsion Unit supply for a growing UAM market demand.
In addition to the collaborative nature of the local business community, Dr. Yoshihiro Takiguchi, president of The Graduate School for the Creation of New Photonics Industries (GPI), described how the city's location, landscape, and climate, made it a microcosm of the nation. "The unique environment, combined with close ties between academia, industry, government, and finance, makes the region a perfect testing ground for startups, regardless of where they are headquartered," added Hamamatsu City officials.
3. Determination
Another recurring theme participants heard throughout the tour was "social purpose." Shunsuke Toya, CEO of ProDrone, explained how a flying mini-truck concept was the answer to their aspiration to solve societal challenges such as aging or inaccessible communities, maritime disasters, and terrorist attacks. Their belief led them to develop a variety of industrial drones specially designed for goods delivery, sea & air integration, long-range heavy-duty, and surveillance. Earlier this year, they partnered with a pharmacy chain to deliver medicines to remote areas of Japan. However, they are determined to go further with a macho-drone that can carry a payload of 50 kilograms over a distance of 50 kilometers.
eve autonomy, founded by Yamaha Motor and TIER IV, is an automated cargo transportation service for factories. Given the shrinking population in Japan, balancing human labor reduction and the safety of the plants is a pressing issue. Business development manager Iwakazu Nishikawa described how their award-winning products outperform conventional AGVs, which had difficulties operating between multiple buildings. Before the joint venture, AGVs, or Automated Guided Vehicles, could neither cope with congested traffic on-premise, maneuver irregularities such as ditches/manholes or slopes nor divert from a fixed guided route.
Director Haruyoshi Toyoda, Hamamatsu Photonics Central Research Laboratory, and his team demonstrated what the microscopic photonic sensing technologies embedded deep inside various daily products do. Autonomous driving would not be without the technology used in high-resolution Light Detection and Ranging (LiDAR). It is a remote sensing technology that measures distance by irradiating laser light on objects and catching the light reflected with a photosensor. Furthermore, the team said, "we are committed to continuously improving the performance of our lasers and sensors because it is a vital ingredient to achieve fully autonomous driving."
Participants also learned that the element of sound (or noise) was an unsung hero in driving safety. The operating officer of Yamaha Corporation, Electronic Devices Division, Nobukazu Toba explained how their longstanding expertise in acoustic research is being applied to Electric Vehicles (EVs) available today. EVs are silent. However, noise helps pedestrians know that a vehicle is approaching. Likewise, an accelerating sound helps drivers recognize speed. He also indicated that the company is in discussions with a Finnish startup to equip cars with warning sound signals (ie. bells and whistles in the driver's seat) coupled with vibrating features to discriminate from which direction the danger originates. "Acoustics and vibration have a lot in common."
Keiko Ihara, a Japanese race car driver, and first female driver to stand on the FIA World Endurance Championship (WEC) podium in 2014, founded Future Inc. two years ago to save her hometown's economy from deteriorating because of the pandemic. The series of carbon-neutral, maximum efficiency, lightweight e-bikes she designed takes many of its cues from racing cars. But her ultimate goal is to create a mobility-sharing service connected to a regional online portal of e-commerce, delivery, clinics, internet banking, and govt services. The grand vision of this new business model will not only revive local resorts and tourist spots, as she initially sought, but may even transform petrol stations into evolving community centers where people come together.

International speakers analyse the latest trends in the global logistics, shipping and air freight industries
This year's conference featured a wide range of panel discussions and forums with a strong line-up of speakers. Global industry leaders discussed international and regional collaboration, the development of the Guangdong-Hong Kong-Macao Greater Bay Area (GBA), the Regional Comprehensive Economic Partnership (RCEP), innovation and technology, and sustainable developments from a variety of perspectives.
In the keynote address this morning, Xiangchen Zhang, Deputy-Director General of the World Trade Organization, examined how governments and businesses in the international arena may join forces to mitigate the impact of supply chain disruption.

The 12th Asian Logistics, Maritime and Aviation Conference takes place on 22 and 23 November

HONG KONG, Nov 14, 2022 – (ACN Newswire) – The 12th edition of the Asian Logistics, Maritime and Aviation Conference (ALMAC), jointly organised by the Hong Kong Trade Development Council (HKTDC) and Government of the Hong Kong Special Administrative Region (HKSAR), will be held on 22 and 23 November at the Hong Kong Convention and Exhibition Centre (HKCEC) in person as well as online. ALMAC is one of a number of large-scale trade events organised by the HKTDC in Hong Kong in the past few months. Under the theme, "The Future of the Sustainable Supply Chain: Connectivity – Collaboration – Innovation", ALMAC will examine issues faced by global businesses, such as the new normal supply chain, current challenges, opportunities through international and regional collaboration and future direction of sustainable development.
ALMAC brings together participants from logistics, maritime, air freight and supply chain management sectors to gain insights, exchange market intelligence and explore business opportunities. SCGL and JWD announce merger to combine strength to leverage regional business expansion

BANGKOK, Oct 27, 2022 – (ACN Newswire) – SCG Logistics Management Company Limited ("SCGL") and JWD InfoLogistics PCL (SET: JWD), the two leading logistics and supply chain service providers at the ASEAN level together announced a crucial merger deal to form a partnership under SCG JWD Logistics PCL (SCGJWD) in a move to combine strength and increase the service level capability to become the largest Integrated Logistics and Supply Chains Solutions Provider in the ASEAN region with a wide variety of integrated services to cover all industrial groups to increase the opportunities for exponential growth derived from the customer bases of the two companies, while drawing up a strategy to expand the businesses in the ASEAN region.
Mr. Charvanin Bundikitsada, Chairman of the Executive Committee and Chief Executive Officer of JWD Pcl. (JWD), revealed that the Company has moved ahead to merge the Company with SCG Logistics Management Company Limited (SCGL), which is a subsidiary of Siam Cement PCL (SCC), following the Company's Board of Directors' Meeting on October 26, 2022 resolving to propose to the shareholders' meeting to consider and approve the merger between JWD and SCGL.
In this merger transaction, JWD will issue new ordinary shares to the amount of not more than 791,020,363 million shares and offer them as private placements (PP) to the existing shareholders of SCGL at the price of 24.02 baht per share as compensation for the transfer of all SCGL ordinary shares in a share swap. Following the completion of the share swap, SCGL's existing shareholders will hold shares in JWD in the proportion of not more than 43.7 percent of all JWD's voting shares after the transaction.
In this regard, JWD will convene the Extraordinary General Meeting of Shareholders No. 1/2022 on December 8, 2022 at 1:30 p.m. at Banthat Thong Meeting Room, 6th Floor, JWD Store it!, after setting the record date to finalize the list of bona fide shareholders on November 10, 2022, to consider and approve the merger plan and the capital reduction and the increase of the Company's registered capital to 905,510,153.00 baht from the original 509,999,971.50 baht through the issuance of new ordinary shares as previously stated. The merger transaction of SCGL and JWD is expected to be completed within Q1/2023.
Upon completion of the merger transaction, JWD will change its name to SCG JWD Logistics PCL with the SET-registered abbreviation of SJWD for share trading in the Stock Exchange of Thailand, The new Company will be managed jointly by Co-Chief Executive Officers (Co-CEOs) – Mr. Bunn Kasemsup, representing SCGL, and Mr. Charvanin Bunditkitsada, representing JWD. SCGJWD will proceed with the internal restructuring after the merger, when SCGJWD will accept the entire business transfers (EBT) of SCGL. This process is expected to be completed by the fourth quarter of 2023.
This merger combines the individual strengths of the two companies perfectly. These include JWD's expertise in specialized products such as temperature-controlled goods, hazardous goods and automotive, etc., while SCG is the expert in industrial products such as steel & construction materials, paper & packaging, and consumer products, etc. This synergy will help to increase the capability to provide logistics services from upstream to downstream along with a large variety of service models covering warehousing, supply chain and multimodal logistics, as well as the opportunity to create more synergy in the future. Moreover, the customer bases of both parties do not overlap significantly, thus growth from expanded customer base of both parties and the acquisition of a large customer base from within the SCG group will help to maintain growth and effectively reduce business volatility.
In terms of cost and management, the merger will immediately make SCGJWD the largest integrated logistics and supply chain service provider in ASEAN. This will result in the expansion of the businesses, the integration of key support departments, as well as the promotion of the application of shared resources for maximum benefit.
The business opportunities that the two parties have planned together can be summed up in three parts: (1) Increased revenue from cross-sale and up-sale from the existing customer bases of SCGL and JWD along with more cost savings; (2) The creation of added value to the existing services that both parties are experts in, such as cold storage, automotive warehousing, hazardous goods storage and multimodal transport, etc.; (3) Seamless connection of all service bases in the ASEAN region through the application of successful business models in Thailand to foster growth abroad; (4) Provide D2C (Direct to Consumer) services to meet the changing customer needs through private storage for rent, logistics for eCommerce businesses, and express logistics; and, (5) Continuously improve the scope of services in new businesses such as industrial real estate and software development services for logistics management.

The interim results showed steady revenue growth, further increases in gross profit and gross margin, and continued improvement in core business indicators, resulting in a solid performance.

During the Period, intra-city delivery to consumers, non-food scenarios(3) and continued expansion in lower-tier cities(4) became the main drivers for the business, while the Group's diversified revenue structure strengthened its resilience. The Group saw its core business indicators continue to improve, achieving solid revenue growth to RMB4,481.1 million, an increase of 20.8% over the same period last year. Gross profitability further improved, with the Group achieving a gross profit of RMB180.2 million and a gross profit margin of 4.0%. During the Period, the Group's net loss margin continued on its multi-year trajectory of improvement, narrowing to 3.2% compared with the same period last year. Maintained High Growth in Intra-City Delivery Service
Revenue from intra-city delivery service increased by 29.2% year-on-year ("YoY") to RMB2,929.2 million, benefiting from the continuing increase in demand driven by enriched intra-city on-demand delivery scenarios, changes in consumer habits driven by the pandemic, and continued expansion in both non-food delivery scenarios and lower-tier cities. In particular, non-food delivery scenarios posted strong performance, with revenue increasing by 32.4% YoY to RMB1,051.2 million. Revenue in lower-tier cities grew 41.0% YoY to RMB1,035.4 million as the Group further expanded its geographical coverage and enriched its service matrix, driving the development of on-demand delivery services infrastructure in lower-tier cities. During the Period, the proportion of mid-to-long-distance (over 3km) orders increased, while the average delivery time and fulfillment-in-time rate remained at a high level, and the performance quality only fluctuated slightly during the peak time of festivals and holidays. The number of cities that commenced night-time (24 hours) delivery services increased to 777.
Intra-city Delivery to Merchants
The number of annual active merchants reached 299,000, representing a YoY increase of 31.2%, and the Group served over 2,900 brand customers cumulatively. Thanks to the Group's high-quality, stable and customer-centric services, its customer loyalty and retention rate have improved, with the retention rate for its Top 100 key account customers increasing to approximately 90%. Revenue from intra-city delivery to merchants was RMB 2,156.4 million, up 23.1% YoY. Driven by the pandemic and the new consumption era, consumer habits have increasingly shifted toward a trend of "bring all you need to your side", which has in turn generated more on-demand delivery needs. The Group has continued to broaden its coverage across product categories and strengthen its product delivery capabilities. Demand for high value-added service scenarios such as local e-commerce and local services remained high, driving YoY revenue growth of 104.3% and 47.8% for these scenarios, respectively. In particular, revenue generated from delivery services provided to the supermarket, retail, pharmaceutical and 3C industries achieved a YoY increase of 71.3%.
SF Intra-City also strategically cooperated with SF Holding Group's ecosystem participants to create integrated solutions for customers, namely "front-end warehousing + mid-end trunk + intra-city on-demand delivery". Through resource synergy and capacity integration, these solutions broaden customer reach and increase customer loyalty for both parties. Service to Credit Customers(5) with SF Holding Group led to a RMB86.7 million revenue contribution, representing YoY growth of 115.5%, mainly due to improved service capabilities which enabled SF Intra-City to deepen its cooperation with SF Holding Group to meet more customer needs.
Intra-city Delivery to Consumers
During the Period, the revenue from intra-city delivery to consumers grew 50.1% YoY to RMB772.8 million, benefiting from the increasing penetration of intra-city on-demand delivery service driven by consumers' growing demand for timeliness and convenience in daily life and business scenarios, consumers' recognition of and trust in the SF Intra-City brand and easy access to its services through various channels and SF Intra-City's continuously improving reach, conversion and activation of individual users. With the pandemic catalyzing personal daily and office demands, the running errands business surged by more than 100%. The annual active consumer base continued to expand, reaching 12.3 million, representing YoY growth of 55.0%.
In the first half of 2022, the Group continued to optimize the quality of its products and services for individual consumers. By providing high-standard services and a standardized collection and delivery process, the Group enables consumers to enjoy better delivery experiences. Meanwhile, considering that the majority of orders from consumers consist of mid-to-long-distance deliveries or non-standard service needs, the Group has built a team of "pioneer riders" exclusively dedicated to individual consumer orders to achieve better performance in order-pick-up rate, completion rate and fulfillment-in-time rate.
